Terms of Service

1. Definitions

• “Kindure AI”, “we”, “us” — Kindure AI INC., a company registered in British Columbia, Canada
• “Client”, “you” — the individual or business engaging our services
• “Services” — the services described in an accepted proposal, quote or subscription
• “Deliverables” — work products created for the Client under an engagement

2. Scope of Services (currently offered)

• Canada market-entry consulting for AI companies: certification & compliance pathways, channel mapping, after-sales planning, business development
• Content creation and bilingual marketing: video, photography, social media management, AI marketing automation (lite)
• Market research and intelligence reports

3. Extended Services (through licensed professionals)

Kindure AI may provide legal, financial, or tax-related guidance through licensed third-party professionals when required for market-entry projects. Kindure AI itself is not a law firm, accounting firm, or tax agency. Website content is general information, not professional advice.

4. Future Services

AI user-experience research (Planning Stage) and AI hardware collaboration programs (Exploratory Stage) are described on this website for information only and are not currently offered.

5. Hardware Sales & Distribution

Kindure AI does not currently offer AI hardware sales, distribution, or agency services. These activities may be introduced in the future once regulatory and market conditions allow. Any future commercial hardware activities will be governed by separate agreements.

6. Payment Terms

• Subscriptions are billed monthly in advance; project fees follow the milestone schedule in the proposal
• Invoices are payable within 14 days unless otherwise agreed
• Accepted methods: Interac e-Transfer, bank wire, Stripe — see our Payment page
• Prices are in CAD before applicable taxes unless stated otherwise

7. Subscriptions & Cancellation

Subscriptions are month-to-month and may be cancelled with 30 days written notice; fees for the current billing period are non-refundable.

8. Intellectual Property

Deliverables transfer to the Client upon full payment. Our pre-existing tools, templates and methods remain ours. We may showcase non-confidential work in our portfolio unless agreed otherwise in writing.

9. Confidentiality

Each party will keep the other party’s non-public business information confidential and use it only for the engagement. This obligation survives termination for two (2) years. Signed NDAs take precedence over this clause.

10. Termination

Either party may terminate an engagement with written notice if the other party materially breaches these terms and fails to remedy within 14 days. Upon termination, the Client pays for all work completed to date.

11. Liability

Our total liability under any engagement is limited to the fees paid in the preceding 3 months. We are not liable for indirect or consequential damages.

12. Dispute Resolution

The parties will first attempt to resolve disputes through good-faith negotiation for 30 days. If unresolved, disputes will be referred to mediation in British Columbia, and failing that, to the courts of British Columbia, Canada, which have exclusive jurisdiction. These terms are governed by the laws of British Columbia and applicable Canadian federal law.

Refund Policy

Consultations & Workshops

• Initial 30-minute consultations are free of charge.
• Paid workshops may be rescheduled or cancelled for a full refund up to 48 hours before the start time; within 48 hours, fees are non-refundable but may be credited to a future session.

Monthly Subscriptions

• Cancel anytime with 30 days advance written notice.
• Fees for the current billing period are non-refundable; no pro-rated refunds for unused time.

Project-Based Services

• Deposits become non-refundable once work has commenced.
• If the Client cancels mid-project, fees are payable for work completed; prepaid amounts beyond that are refunded.
• If we fail to deliver a contracted milestone, the fee for that milestone is refunded in full.

Digital Products & Reports

• Non-refundable once delivered or downloaded.
• Annual subscriptions: full refund within 14 days of purchase if no reports have been delivered.

Service Issues

If a delivered service is materially deficient, contact us within 14 days — we will re-perform the work first; if we cannot remedy it, we will issue a fair partial or full refund.

Processing

• Approved refunds are returned to the original payment method within 10 business days.
• Third-party processing fees and bank wire fees are non-refundable except where required by law.
